So, by your logic Gilligan and Murray could walk in on day one and vote King off of the board without an EGM?

Yea perhaps, ain't gonna happen though, how often do you hear of people being voted off by an EGM, not often, plenty get voted off and on

Don't need an EGM to appoint or remove people from the board. The board themselves can do that with a majority vote. For example there was no EGM to appoint Lambas to the board.

My understanding is that directors can be removed without an AGM or an EGM as long as the directors agree to it. In most companies this is straight forward because a director loses all power when the rest of the board are voting against him anyway, and the outgoing director will normally get a settlement.

But if the director refuses to go, then (unless there are special articles of association to cover this) they remaining directors need to call an EGM.
