They're in decline we're not, we're just lacking direction to be honest. Also stop assuming we won't make top 4 we're very much in the race and providing we win the Fa Cup we'd actually be in a positive spiral!
Again a new coach is needed because there's a lot you can do with Arsenal, United can boast a better history but have the worser coach as well as needing a major overhaul anyway. They should be the more busier this summer.

2. Financial stability that can cope with FFP
3. Board prepared to spend
4. Basis of a good squad, just needs a few additions

As so often said, money talks. Atletico will likely be forced to sell their prized assets I.E. Costa because of financial constraints. Simeone will likely become exasperated with his teams regression over the next couple seasons if this happens, higher salary and more to play with could see him leave despite his success.
Same goes for the "top" players of other "top" clubs, sustainability is key. Arsenal and United both offer the reputation and money for potential future success.

I know money talks and A Madrid are known as a selling club but surely after their success this season, they'll want to keep their best players and kick on next season to compete with RM & FCB, a bit like LFC in the PL.

Footballers worry more about status, location, and dough than take a paycut to play for a club with history.
UTD rarely go in for the cream of the crop in Europe anyway, so I don't see a huge change. We'll still be looking at young gems and PL proven players. Maybe one marquee signing, and the wages will turn heads.
Also, maybe some players like the idea of going to a club on the decline and turning it around. I could see someone like Ronaldo having that mindset, if he won it all at Madrid.
SAF may not have gone for the cream of the crop, but I think Moyes will need to if he wants to succeed next season. The English players aren't going to cut it at the highest level. Look at the best players for the top 4 right now. All foreign players.
Ji Sung, United's old methods won't work now that Ferguson is gone. You'll need higher quality imports. Players like Mata are a good start. If Kagawa gets a decent run in the side, him and Mata will get you ticking over nicely.

As is Moutinho, Rodriquez, Suarez, Torres, Sturridge, Kompany to name a few more, teams like Real, Barca and Bayern have all had season with no CL football and it hasn't derailed the clubs.
That is why i don't pay any attention to the reactionary doom-mongers who think that without CL next season we won't be able to sign ANY decent players and may have to start tapping up Lee Cattermole and James Collins for next season

Look at Everton though. Liverpool have done well with PL players too.
The likes of Schneiderlin are far more likely to arrive than Kroos and could excel at the top level.
