What could the clubs put in that private investors could not?
As it is to be constructed using private funding,can you nail (in a sentence) how both clubs can stop it.

You're spectacularly missing the point.
Any business plan for a private investor in this scheme, would require at it's heart, the existence of footfall created by both clubs matchday crowds. So without a direct involvement by both clubs in the retail outlets floated in this proposal, they're never going to get behind the plan, as if they did, they'd be actively promoting unrelated private sector businesses to leach off their brands & worse than that, potentially take more of the 'matchday £" out of their own concourses.....
The idea of a FQ could possibly work, but it would need at it's core, a business plan that showed that both clubs could invest & see a decent ROI, without that it's a nonsense imho.
I have yet to see any figures to back up this Football Segment 'proposal'

Pardonnez moi, mais shouldn't a business plan have a back-up before it's binned by HM's democratically elected govt. ?
