I could.
This type of clause protects the buyer from liabilities not disclosed by teh seller or that arises after the transaction is completed that the sellere could not have been aware of at the time of sale but that relates to the subject of the sale before the sale took place.
I am currently dealing with such an event with one of my clients. A tax audit that relates to the time when the seller owned the company. Their agreement states that buyer will only be responsible for all costs related to this matter up to $50k, seller is responsible thereafter.

Our lawyers are demanding that the petition be immediately withdrawn, and a full apology made else we will ask the court to dismiss the petition on Monday morning
